The Company informs that the ITA Airways Shareholders' Meeting was held today in Fiumicino, under the chairmanship of Antonino Turicchi. The agenda of the Shareholders' Meeting included the renewal of the Board of Directors and the Board of Statutory Auditors, whose mandates had expired upon the approval of the Company's financial statements for the year 2022.
The Assembly therefore proceeded to appoint the new Board of Directors, which is reduced from five to three directors and is composed as follows: Antonino Turicchi Chairman, Valeria Vaccaro and Francesco Spada Directors. The Board of Statutory Auditors, on the other hand, was reappointed in the persons of Marina Scandurra Chairman, Paolo Maria Ciabattoni and Giovanni Naccarato Standing Auditors.
The decision to appoint a three-member board is consistent with the agreements between the Ministry of Economy and Finance and Lufthansa, according to which, as a result of the subscription of a capital increase reserved for it, the German company will enter the shareholder base and express two additional directors, one of whom will have the role of CEO.
This marks another important step in the path identified in ITA Airways' business plan, which from a start-up with total public participation has consolidated and embarked on privatization. This transaction, as is well known, is subject to clearance by the Directorate General for Competition in Brussels.
At the meeting following the Assembly ITA Airways' board of directors approved the consensual termination of employment with Fabio Maria Lazzerini, former CEO and General Manager of the company. All of Lazzerini's operational delegations were given to Andrea Benassi, current Chief Network, Fleet and Alliances Officer, who will assume the position of General Manager. In addition, Francesco Presicce, chief technology officer, was appointed Accountable manager, position previously held by Lazzerini.
